Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services, platform, and website provided by Agaro ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.

1. Acceptance of Terms

By creating an account, accessing our website at agaro.ai, or using any of our AI-powered business automation services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Agaro provides AI-powered business automation services including, but not limited to, AI voice agents, conversation bots, lead qualification, CRM and sales automation, scheduling infrastructure, workflow automation, business intelligence, ERP operations, custom software development, mobile application development, enterprise AI deployment, and AI assistant configuration. The specific features and functionality available to you depend on the service plan and subscription you select.

3. Account Registration

To access certain features of our services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use our services to:

  • Violate any applicable local, state, national, or international law or regulation
  • Infringe upon the intellectual property rights, privacy rights, or other rights of any third party
  • Transmit any malicious code, viruses, or harmful software
  • Engage in any activity that interferes with or disrupts our services or servers
  • Send unsolicited communications, spam, or engage in illegal telemarketing practices
  • Attempt to gain unauthorized access to our systems, other user accounts, or restricted features
  • Use our AI services to generate content that is defamatory, obscene, fraudulent, or otherwise harmful
  • Reverse engineer, decompile, or disassemble any aspect of our platform or technology
  • Resell, sublicense, or distribute access to our services without our written consent

5. Intellectual Property

All content, features, and functionality of our services — including text, graphics, logos, icons, software, AI models, algorithms, and documentation — are owned by Agaro or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You retain ownership of any data or content you upload to our platform. By uploading content, you grant us a limited license to process, store, and use your content solely to provide and improve our services.

6. Payment Terms

Certain services require payment of fees. All fees are stated in U.S. dollars and are due in accordance with the billing cycle specified in your service agreement. We reserve the right to modify our pricing with at least 30 days' prior notice. Failure to pay outstanding fees may result in suspension or termination of your account. All fees are non-refundable except as expressly stated in your service agreement or required by applicable law.

7. Service Level Agreement

We strive to maintain high availability for our services with a target uptime of 99.9%. In the event of scheduled maintenance, we will provide advance notice when reasonably possible. We are not responsible for service interruptions caused by factors outside our reasonable control, including internet outages, force majeure events, or third-party service failures. Specific service level commitments and remedies may be detailed in your individual service agreement.

8. Data Processing

We process your data in accordance with our Privacy Policy and applicable data protection laws. You represent that you have obtained all necessary consents and authorizations to provide us with personal data for processing. You are responsible for ensuring that your use of our services complies with all applicable data protection and privacy regulations, including obtaining proper consent for call recording, chatbot interactions, and automated communications.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Agaro and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our services, regardless of the theory of liability. Our total aggregate liability for any claims arising from or related to these Terms or our services shall not exceed the total amount you paid to us during the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Agaro and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of our services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Either party may terminate the service relationship at any time. You may cancel your account by contacting our support team. We may suspend or terminate your access to our services immediately if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required by law. Upon termination, we will provide a reasonable period for you to export your data, after which we may delete your data in accordance with our retention policies.

12. Dispute Resolution

Any disputes arising from or related to these Terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If a resolution cannot be reached within thirty (30) days, either party may pursue binding arbitration administered by a recognized arbitration organization, with the arbitration to take place in Fairfax County, Virginia, USA. Each party shall bear its own costs of arbitration.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States of America, without regard to its conflict of law principles. Any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in Fairfax County, Virginia.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where applicable, by sending an email notification. Your continued use of our services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of our services.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Agaro regarding the use of our services and supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.
