1. Agreement to Terms
These Terms of Service (the "Terms") are a binding agreement between you and Agaro Technologies LLC ("Agaro," "we," "us"). By accessing or using our website, requesting a consultation, or otherwise using any service we provide, you agree to these Terms. If you do not agree, do not use the services.
If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.
2. Definitions
- "Site" means agaro.ai and any Agaro-operated subdomain or successor URL.
- "Services" means the products, features, content, applications, and consulting we make available through the Site or under a separate written agreement.
- "Customer Content" means any data, materials, or information you submit to or through the Services.
- "Output" means content generated, predicted, classified, summarized, or otherwise produced by an Agaro service in response to a request.
- "MSA" means a Master Services Agreement, Order Form, or Statement of Work executed between you and Agaro for paid services.
3. Use of the Site & Services
The Site provides marketing, documentation, and contact functionality. You may use it to learn about Agaro, contact us, or schedule a consultation. You may not use the Site to scrape content at scale, probe for vulnerabilities without authorization, or interfere with normal operation.
Paid Services delivered under an MSA are governed by the MSA's scope, deliverables, acceptance criteria, security obligations, and service levels. These Terms operate in addition to the MSA and apply to the public Site and to any pre-contractual interactions.
4. Accounts & Access
Some Services require an account. You are responsible for keeping credentials secret, enabling multi-factor authentication where offered, and notifying us promptly at info@agaro.ai of any suspected compromise. You are responsible for all activity that occurs under your credentials.
5. Acceptable Use
You agree not to use the Services to:
- Violate any law, regulation, or third-party right.
- Send unlawful, defamatory, harassing, or infringing content.
- Build, train, or evaluate a competing AI product using our Outputs or telemetry.
- Attempt to reverse-engineer, decompile, or extract underlying models, prompts, or weights from the Services beyond what applicable law expressly permits.
- Send malware, run denial-of-service activity, or probe the security of the Services without prior written authorization.
- Misrepresent AI Output as human-authored where doing so would deceive a user or violate law (for example, in regulated communications).
We may suspend access for material breach, security risk, or to comply with a legal obligation, with notice where reasonably practical.
6. Customer Content
As between you and Agaro, you retain all right, title, and interest in Customer Content. You grant Agaro a limited, non-exclusive, worldwide license to host, process, transmit, and display Customer Content solely to provide and improve the Services for you, and to comply with law.
You represent that you have all necessary rights and permissions to submit Customer Content to the Services, including any consents required from end users whose data is included.
7. AI Output & Reliance
AI systems produce probabilistic Output. Output can be wrong, incomplete, biased, or out of date. You are responsible for reviewing Output before relying on it for any decision that has legal, medical, financial, safety, or reputational consequences.
We do not warrant that Output is accurate, fit for a particular purpose, or free of bias. The Services are tools, not advisors. Where Output is used in a regulated context, your organization remains accountable for the decisions made on its basis.
Subject to your compliance with these Terms and the MSA, and to applicable law, you may use Output for your business purposes. You may not use Output in a way that would mislead end users about its AI origin where disclosure is legally or ethically required.
8. Intellectual Property
Agaro and its licensors retain all right, title, and interest in the Services, including software, models, prompts, tooling, documentation, and brand assets. Nothing in these Terms grants you a license to those materials except as expressly stated.
Feedback you provide is non-confidential. By submitting feedback, you grant Agaro a perpetual, royalty-free license to use it to improve the Services, without obligation to you.
9. Fees & Payment
The Site is free to browse. Paid Services are invoiced under an MSA or Order Form. Fees are due net 30 from invoice date unless the MSA states otherwise, payable in the currency specified. Late amounts accrue interest at 1% per month or the maximum rate permitted by law, whichever is lower. You are responsible for applicable taxes other than taxes on Agaro's net income.
10. Confidentiality
Each party will protect the other's Confidential Information with at least the same degree of care it uses for its own confidential information of similar sensitivity, and never less than reasonable care. Confidential Information may be used only to perform under these Terms and the MSA, and disclosed only to personnel and advisors who need it and are under written or professional confidentiality obligations.
11. Warranties & Disclaimers
Agaro warrants that it will provide the Services with reasonable skill and care. Except for that warranty and any warranties expressly given in an MSA, the Services and Output are provided "as is" and "as available." To the maximum extent permitted by law, Agaro disclaims all other warranties — express, implied, statutory, or otherwise — including merchantability, fitness for a particular purpose, non-infringement, and any warranty that Output will be accurate, reliable, current, or error-free.
12. Limitation of Liability
To the maximum extent permitted by law, Agaro will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.
Agaro's aggregate liability arising out of or relating to these Terms and the Services will not exceed the greater of (a) the fees you paid to Agaro for the Services in the 12 months preceding the event giving rise to the claim, or (b) US $1,000.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, liability is limited to the smallest extent permitted by law.
13. Indemnification
You will indemnify, defend, and hold harmless Agaro and its affiliates, officers, employees, and agents from any third-party claim, demand, or proceeding arising out of (a) your breach of these Terms, (b) your misuse of the Services or Output, or (c) your violation of any law or third-party right, except to the extent caused by Agaro's gross negligence or willful misconduct.
Where Agaro provides an indemnity under an MSA, that indemnity is governed exclusively by the MSA's terms.
14. Term & Termination
These Terms apply for as long as you use the Services. We may suspend or terminate your access immediately for material breach, security risk, or to comply with law, with notice where reasonably practical. You may stop using the Services at any time. Sections that by their nature should survive termination — including IP, Confidentiality, Warranties, Liability, and Indemnification — will survive.
15. Governing Law & Disputes
These Terms are governed by the laws of the District of Columbia, United States, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Washington, DC, and the parties consent to personal jurisdiction and venue there.
Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
16. General
- Entire agreement — these Terms, together with any MSA, are the entire agreement on this subject and supersede prior agreements.
- Severability — if any provision is held unenforceable, the rest stays in effect.
- No waiver — failure to enforce a right is not a waiver.
- Assignment — you may not assign these Terms without our prior written consent; we may assign in connection with a merger, acquisition, or sale of assets.
- Force majeure — neither party is liable for delays caused by events beyond reasonable control.
- Notices — to Agaro at info@agaro.ai; to you at the address you provided.
- Updates — we may update these Terms; material changes will be announced on this page and, where appropriate, by email. Your continued use after the effective date constitutes acceptance.
